Update — Oct. 5, 2026: Schneider Electric has formally agreed to acquire U.S. industrial software company PTC for $22.6 billion, turning the reported weekend negotiations into a signed transaction.
Schneider will offer $205 per PTC share, a premium of more than 40% to the stock’s pre-report closing level. The enterprise value is about $23.7 billion.
Schneider’s largest acquisition
The deal is the biggest acquisition in Schneider Electric’s history and expands the French group’s software exposure alongside its energy-management and industrial-automation businesses.
PTC develops product-design, lifecycle-management and industrial software used by manufacturers. Schneider expects the acquisition to strengthen its data-center and digital-industrial strategy.
Closing targeted for 2027
Schneider plans to fund the transaction with a mix of new equity and debt. The deal is expected to close in the third quarter of 2027, subject to shareholder and regulatory approvals.
Schneider shares fell sharply after the announcement as investors weighed the price and execution risk, while PTC shares surged.
