C.H. Robinson has agreed to acquire U.S. freight broker RXO in a $5.8 billion cash-and-stock deal, the largest acquisition in the logistics group’s history.
RXO shareholders will receive $17.25 in cash plus 0.0856 C.H. Robinson shares for each RXO share. The offer represents a premium to RXO’s previous closing price.
Deal expands last-mile delivery
The transaction will combine two large North American freight-brokerage businesses and add RXO’s last-mile delivery network to C.H. Robinson’s portfolio.
The combined company would generate roughly $25 billion in annual revenue. C.H. Robinson expects about $300 million in annual cost synergies within two years of closing.
Freight market remains challenging
The deal arrives after a prolonged downturn in freight rates and uneven demand across trucking markets. Management is betting that greater scale and technology-driven routing can improve profitability when the cycle turns.
The transaction is expected to close in the first half of 2027, subject to regulatory and shareholder approvals.
