Home security company ADT has agreed to be acquired by Thrive Holdings in an all-cash transaction valuing the company at about $7.6 billion in equity and $15.3 billion including debt. ADT shareholders would receive $10 per share, representing a substantial premium to the company’s unaffected trading price. If completed, the transaction would remove ADT from the New York Stock Exchange and return the more than 150-year-old security company to private ownership.
Shareholders are being offered $10 per share
ADT said the offer represents a 45.6% premium to its unaffected closing share price of $6.87 on October 27 and a 52.1% premium to its 30-day volume-weighted average price.
The board unanimously approved the agreement.
Thrive wants to use technology to reshape ADT
Thrive Holdings says it invests in established companies and uses engineering and technology to improve operations. The firm sees opportunities to bring more AI and automation into ADT’s security services.
Potential areas include reducing false alarms, detecting equipment failures earlier and improving customer support.
ADT has a large installed customer base
ADT is one of the best-known home security brands in the United States, serving residential and small-business customers through monitoring, smart-home devices and professional installation.
That installed base gives Thrive a platform on which to deploy new technology at scale.
Privacy will be closely watched
Smart-home security companies handle sensitive information, including video, alarm data and information about when customers are home.
ADT and Thrive said data-protection policies will remain unchanged and that no new data sharing will occur without customer permission.
Apollo is providing financing
The financing commitments for the deal are being provided by funds managed by affiliates of Apollo Global Management.
The transaction is not subject to a financing condition, which reduces one major source of execution risk.
The deal includes a go-shop period
ADT is allowed to solicit alternative acquisition proposals for 30 days, with a potential extension for certain bidders. That structure gives the company an opportunity to test whether another buyer will offer a higher price.
There is no guarantee that a competing offer will emerge.
The transaction still needs approvals
Completion is expected in the first quarter of 2027, subject to shareholder approval and U.S. antitrust clearance.
Until then, ADT will continue operating independently.
ADT has been private before
Apollo took ADT private in 2016, and the company returned to public markets in 2018. The new transaction would again move it outside the quarterly pressures of public-market reporting.
Thrive argues that permanent capital can support longer-term investment decisions.
Home security is becoming a technology battleground
ADT faces competition from do-it-yourself security systems, connected cameras and technology platforms integrated into smart homes.
Traditional monitoring remains important, but customers increasingly expect mobile apps, automation and intelligent alerts.
The strategic question is execution
Thrive is paying a significant premium because it believes technology can improve ADT’s growth and efficiency. The challenge will be modernizing the company without weakening the trust associated with a long-established security brand.
If the deal closes, ADT will become a major test of whether private capital and AI-driven engineering can reshape a mature consumer services business.

The valuation reflects both brand and recurring revenue
ADT’s monitored-security model produces recurring subscription revenue, which private-equity and permanent-capital investors often value because it can be relatively predictable. Thrive is effectively betting that a mature installed base can generate stronger growth if customer retention improves and technology reduces service costs.
The main risk is that low-cost cameras and do-it-yourself systems continue to pressure professionally monitored security. ADT will need to show that human monitoring, installation expertise and integrated services justify a premium price. Thrive’s engineering resources may help, but the competitive challenge will remain after the ownership change.
