Schneider Electric Plans €1.2 Billion Takeover of Smart-Home Firm Shelly Group

Schneider Electric plans a €70-a-share cash offer for Shelly Group, valuing the smart-home and IoT company at about €1.2 billion.

Schneider Electric plans to launch a voluntary cash takeover offer for Shelly Group that values the Bulgarian smart-home and Internet of Things company at about €1.2 billion.

Shelly said Thursday that it had signed an investment agreement with a wholly owned Schneider Electric subsidiary supporting an intended offer of €70 per share. The price represents a 27% premium to the unaffected six-month reference price cited by the company.

Founders back the proposed transaction

Shelly’s board said it had reached a preliminary view that the transaction would be in the interests of shareholders and other stakeholders if the offer is launched on the announced terms. The company’s two founding shareholders, who together control roughly 57% of Shelly’s share capital, also support the proposed deal.

The offer would be subject to regulatory approvals and a minimum acceptance threshold that would leave Schneider Electric with at least 95% of Shelly’s outstanding share capital. The companies said they expect closing by the first quarter of 2027 if those conditions are met.

Smart buildings are the strategic fit

Shelly develops connected devices and software for smart homes and buildings. Schneider Electric, one of the world’s largest energy-management and automation companies, is seeking to combine Shelly’s product platform and consumer reach with its broader building-management and energy-efficiency portfolio.

The planned acquisition comes as large industrial companies are spending more heavily on connected building systems, energy monitoring and software that can reduce electricity use. Shelly said its organization and workforce in Bulgaria would be preserved under the proposed transaction.

The transaction is not yet completed and shareholders have not yet been asked to tender their shares. A formal offer document must still receive regulatory clearance before the bid can proceed.
